中小板上市公司信息披露行为研究

摘   要
 中小板上市公司及时、真实、充分、公平地向投资者披露公司信息是非常重要的。这不仅是它自身必须履行的基本义务，而且对于社会的各个方面也是有积极意义的。
    随着信息披露行为越来越受关注，本文将重点研究信息披露行为。第一部分对我国中小板上市公司信息披露的现状进行阐述，其中包括我国中小板上市公司信息披露法规体系、我国中小板上市公司信息披露的主要内容、当前我国中小板上市公司信息披露状况的具体分析；第二部分对中小板上市公司信息披露缺陷及成因进行阐述，存在的问题包括信息披露不真实、不及时、不充分，造成的原因包括为了获得更多的不正当利益、中小板上市公司的治理结构存在缺陷、证券监管机构体系不健全；第三部分对中小板上市公司信息披露质量的影响因素进行分析，影响因素包括信息披露成本、中介机构服务水准、证券监管机构；第四部分对中小板上市公司信息披露提出了完善措施，包括完善信息披露法律责任体系、完善政府监管体系、完善上市公司治理结构建设。

Abstract
 The listed company of the Small&Medium-size Enterprise Board timely,true and full,fair to investors disclosure company information is very important.This is not only it must fulfill the basic obligations,and for various aspects of society is a positive.
 As information disclosure behavior growing concern,this article mainly focuses on research information disclosure behavior.The first part of Chinese small and medium-sized board listed company information disclosure of the status quo is expounded,including small and medium-sized board listed company information disclosure laws and regulations,small and medium-sized board listed company information disclosure and main content and the current Chinese small and medium-sized board listed company information disclosure situation analysis of the specific;The second part to small and medium plate listed company information disclosure defects and the causes is expounded,existing problems including information disclosure untrue,not timely, inadequate,causing factors including to obtain more unfair interests,small and medium-sized board the corporate governance structure of a company defects,securities regulators imperfect system; The third part to small and medium plate listed company disclosure quality analysis, the influencing factors include the information disclosure cost,agency service level,the securities regulatory institution;The fourth part to small and medium plate listed company information disclosure proposes consummating measures, including perfecting information disclosure legal responsibility system, perfecting the government supervision system,perfecting the governance of listed company structure construction.
